Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and related services offered by PagaIQ.ai, operated by Easeworks ("PagaIQ," "we," "us," or "our"), including pagaiq.ai and app.pagaiq.ai (collectively, the "Services").

By accessing or using the Services, requesting a demo, or creating an account, you agree to these Terms. If you are using the Services on behalf of a firm or organization, you represent that you have authority to bind that entity, and "you" includes that entity.

1. The Services

PagaIQ provides software tools to help legal professionals analyze and calculate PAGA penalty exposure and related case information. Features may change over time as we improve the product. Early-access or demo features may be limited, provisional, or subject to additional conditions we communicate to you.

2. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for the accuracy of information you provide and for maintaining the confidentiality of any login credentials. You are responsible for all activity under your account.

3. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of professional ethics rules applicable to you
• Upload or process data you are not authorized to use
• Attempt to gain unauthorized access to the Services, other accounts, or related systems
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, scrape, or copy the Services except as permitted by law
• Misrepresent your identity or affiliation when contacting us or using the Services

4. Your Content and Client Data

You retain ownership of data and materials you submit to the Services ("Customer Content"). You grant PagaIQ a limited license to host, process, and display Customer Content solely as needed to provide and improve the Services and as otherwise directed by you.

You represent that you have all rights and consents necessary to submit Customer Content, including any payroll, employment, or case-related information. You are solely responsible for your professional obligations regarding client confidentiality and privilege.

5. No Legal Advice

PagaIQ is a software tool. Outputs, calculations, reports, and product content are for informational and workflow support purposes only. They do not constitute legal advice, do not create an attorney-client relationship with PagaIQ, and should not be relied on as a substitute for independent professional judgment. You remain responsible for verifying results and for advice you provide to your clients.

6. Intellectual Property

The Services, including software, designs, trademarks, documentation, and underlying technology, are owned by PagaIQ or its licensors and are protected by intellectual property laws. Except for the limited right to use the Services as permitted in these Terms, no rights are granted to you.

7. Fees and Trials

Paid plans, if offered, will be described at the time of purchase or in a separate order form. Free trials or early-access programs may be modified or ended at our discretion. Unless otherwise stated, fees are non-refundable except as required by law.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAGAIQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT CALCULATIONS OR OUTPUTS WILL BE ERROR-FREE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR MATTER.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAGAIQ AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PAGAIQ FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

10. Indemnification

You agree to indemnify and hold harmless PagaIQ and its affiliates from claims, losses, and expenses (including reasonable attorneys' fees) arising out of your Customer Content, your use of the Services, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, create risk or legal exposure for us, or if we discontinue the Services. Provisions that by their nature should survive termination will survive.

12. Privacy

Our collection and use of personal information is described in our Privacy Policy.

13. Changes

We may update these Terms from time to time. The "Last updated" date reflects the latest revision. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms. If you do not agree, stop using the Services.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Exclusive venue for disputes will be the state or federal courts located in California, unless otherwise required by law.
